OneAuto Terms of Service

Please read these Terms of Service ("Terms") carefully before using the OneAuto mobile application and related services (the "App") operated by Cognovix LLC ("we", "us", or "our"). These Terms govern your use of the App and the services provided therein. By accessing or using the App, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use the App.

  1. Definitions

    1. App
      Refers to the OneAuto mobile application, including all related features and services such as the API, any backend resources, any algorithms in use by the mobile application or the backend resources, the user interface, etc.

    2. User
      Refers to any individual or entity using the App.

    3. Membership Definitions
      Customizable service packages created by vehicle service providers, which can be purchased by Users.

    4. Third-Party Services
      Refers to any third-party products, services, platforms, software, websites, or APIs that interoperate with the App or are referenced by the App (for example, Tekmetric and the Tekmetric API).

    5. Third-Party APIs
      Refers to any application programming interfaces (APIs) provided by Third-Party Services, including any associated credentials, tokens, keys, endpoints, documentation, or integrations.

  2. License to Use

    1. License
      Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to use the App for its intended purpose.

    2. Agreement
      You agree not to reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, or reverse engineer any part of the App.

  3. Prohibited Conduct

    You agree not to engage in any of the following prohibited activities while using the App:

    1. Violating any applicable laws, regulations, or third-party rights.

    2. Transmitting any harmful, offensive, or illegal content.

    3. Attempting to gain unauthorized access to the App or its related systems.

    4. Impersonating any person or entity or providing false information.

    5. Interfering with the proper functioning of the App.

    6. Harassing, threatening, or discriminating against other Users.

    7. Interacting with our APIs, authentication endpoints, or any other component of our network infrastructure using a frontend client other than the App itself.

    8. Accessing, calling, querying, scraping, reverse engineering, or otherwise interacting with any Third-Party APIs directly (including, without limitation, the Tekmetric API), whether through scripts, bots, automated tools, custom clients, or any means other than the App’s intended functionality.

    9. Attempting to bypass, disable, or circumvent any technical or contractual restrictions related to Third-Party Services or Third-Party APIs, including attempting to obtain or use third-party credentials, tokens, or API keys outside of the App.

    10. Sharing, reselling, sublicensing, or otherwise providing access to any Third-Party Services, Third-Party APIs, or related credentials made available through the App (if any).

  4. Right to Terminate Accounts

    We reserve the right to suspend, terminate, or restrict your access to the App without notice if we believe you have violated these Terms or engaged in prohibited conduct.

    1. How a User can Cancel/Terminate an Account

      Users can cancel or terminate their accounts by following the instructions provided in the App on the Profile screen. Cancellation or termination may result in the loss of access to certain services and Membership Definitions without refund.

      1. Ownership of Your Content

        1. Any content you submit, upload, or display on the App ("Your Content") remains your property.

        2. By submitting Your Content, you grant us a non-exclusive, royalty-free, worldwide license to use, reproduce, modify, and display Your Content solely for the purpose of providing and improving the App.

      2. User Generated Content

        Users may create and purchase Membership Definitions. We are not responsible for the content or accuracy of these Membership Definitions, and Users agree to use them at their own discretion.

        1. DMCA Section

          If you believe that any content on the App infringes your copyright, please follow the procedures outlined in our Digital Millennium Copyright Act (DMCA) Policy below:

          1. How to Submit a DMCA Notice
            Please email us your notice at help@cognovix.com. We will respond in no more than 60 days.

          2. How DMCA Notices are Processed
            We will evaluate your notice and respond with our findings, and next steps in no more than 60 days.

          3. How to Submit a DMCA Counter Notice
            To submit a DMCA counter notice, please email us the notice at help@cognovix.com within 30 days of receiving our reponse to your initial DMCA notice.

        2. Payment Details

          1. Payment for Memberships and other services on the App is processed through Stripe. Users are responsible for all charges incurred.

          2. All payment details are subject to our Privacy Policy.

        3. Right to Update or Modify Terms

          We may update or modify these Terms at any time. The most current version will be available via a link within the App. Your continued use of the App after such changes constitutes your acceptance of the updated Terms.

          1. Disclaimer of Warranty

            The App is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that the App will be error-free or uninterrupted.

            1. Disclaimer of Liability

              We are not liable for any direct, indirect, incidental, special, or consequential damages resulting from your use of the App or Membership Definitions.

              1. Governing Law

                These Terms shall be governed by and construed in accordance with the laws of the state of Delaware, without regard to its conflict of law principles.

                1. Privacy Policy

                  Your use of the App is also governed by our Privacy Policy. If you have any questions or concerns about these Terms or the App, please contact us at help@cognovix.com.

                  1. Dispute Resolution

                    1. Informal Resolution
                      Users agree that in the event of any legal dispute or claim arising from or related to the use of the App or these Terms, both parties must first attempt to resolve the dispute informally and in good faith, without resorting to formal litigation. To initiate this informal dispute resolution process, the User must provide written notice of the dispute to help@cognovix.com. We will have a period of 60 days from the date of receipt of such notice to respond to the dispute.

                    2. Litigation
                      If the parties are unable to resolve the dispute informally within the 60-day period specified above, either party may commence formal legal proceedings. Users acknowledge and agree that this informal dispute resolution process is a mandatory precondition to initiating litigation.

                    3. Time Limit for Claims
                      Users further acknowledge and agree that any legal action or proceeding arising out of or related to the use of the App or these Terms must be initiated within one year after the incident giving rise to the dispute occurred. Failure to bring a claim within this one-year period will result in a waiver of the right to pursue legal action for the incident thereafter.

                  By using the App, you acknowledge and accept the terms of this dispute resolution clause. You also understand that it is a condition precedent to any formal legal action, and you agree to abide by the procedures outlined herein.

                  By using the App, you acknowledge that you have read, understood, and agree to these Terms of Service.
