Please read these Terms of Service ("Terms") carefully before using the OneAuto Shop Admin mobile application and related services (the "App") operated by Cognovix LLC ("we", "us", or "our"). These Terms govern your use of the App and the services provided therein. By accessing or using the App, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use the App.
App
Refers to the OneAuto Shop Admin mobile application, including all related features and services such as the API, any backend resources, any algorithms in use by the mobile application or the backend resources, the user interface, etc.
User
Refers to any individual or entity using the App.
Customer
Refers to any individual or entity using the OneAuto mobile application (which is different than the OneAuto Shop Admin mobile application).
Membership Definitions
An entity in the software representing customizable service packages created by Users, which can be purchased by Customers.
Service Line Item Definitions
An entity in the software representing a kind of service (i.e., Oil Change, Tire Rotation, etc.) either created by Us as a default, or custom created by Users, which are used in part to define Membership Definitions.
Service Line Items
An entity in the software representing an instance of service performed on a Customer's vehicle corresponding to a Service Line Item Definition.
Posts
An entity in the software representing customized promotions or messages, which are created by Users and shared with Customers.
Shops
An entity in the software representing a vehicle service shop. Users can create new Shops or join existing Shops.
Third-Party Services
Refers to any third-party products, services, platforms, software, websites, or APIs that interoperate with the App or are referenced by the App (for example, Tekmetric and the Tekmetric API).
Third-Party APIs
Refers to any application programming interfaces (APIs) provided by Third-Party Services, including any associated credentials, tokens, keys, endpoints, documentation, or integrations.
License
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to use the App for its intended purpose.
Agreement
You agree not to reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, or reverse engineer any part of the App.
Third-Party Services
Your license to use the App does not grant you any rights to access or use any Third-Party Services or Third-Party APIs except through the App’s intended functionality, if and where such access is made available by us.
You agree not to engage in any of the following prohibited activities while using the App:
Violating any applicable laws, regulations, or third-party rights.
Transmitting or uploading any harmful, offensive, pornographic, or illegal content.
Attempting to gain unauthorized access to the App or its related systems.
Impersonating any person or entity or providing false information.
Interfering with the proper functioning of the App.
Harassing, threatening, or discriminating against other Users.
Interacting with our APIs, authentication endpoints, or any other component of our network infrastructure using a frontend client other than the App itself.
Accessing, calling, querying, scraping, reverse engineering, or otherwise interacting with any Third-Party APIs directly (including, without limitation, the Tekmetric API), whether through scripts, bots, automated tools, custom clients, or any means other than the App’s intended functionality.
Attempting to bypass, disable, or circumvent any technical or contractual restrictions related to Third-Party Services or Third-Party APIs, including attempting to obtain, extract, use, or share third-party credentials, tokens, or API keys outside of the App.
Using the App in a manner that violates any applicable third-party terms, policies, or usage limits associated with Third-Party Services, or that could overload, disrupt, or degrade Third-Party Services.
The App may interoperate with Third-Party Services. We do not control Third-Party Services and are not responsible for their availability, accuracy, security, functionality, or any changes they make to their products or APIs. Third-Party Services may impose additional terms, conditions, or limitations, and you agree to comply with them. We may suspend or discontinue any integration at any time.
We reserve the right to suspend, terminate, or restrict your access to the App without notice if we believe you have violated these Terms or engaged in prohibited conduct.
Users can cancel or terminate their accounts by either following the instructions provided in the App on the Profile screen or contacting our team at help@cognovix.com. Cancellation or termination may result in the loss of access to certain services without refund.
Any content you submit, upload, or display on the App ("Your Content") remains your property.
By submitting Your Content, you grant us a non-exclusive, royalty-free, worldwide license to use, reproduce, modify, and display Your Content for the purpose of providing and improving the App, marketing the App, or any other promotional use case.
Membership Definitions
Users may create Membership Definitions. We are not responsible for the content or accuracy of these Membership Definitions. Users agree to create Membership Definitions responsibly, at fair prices, and agree to provide the services defined in the Membership Definition for the duration specified in the Membership Definition.
Posts
Users may create Posts. We are not responsible for the content or accuracy of these Posts. Users agree to create Posts responsibly, and agree that any images uploaded as part of a post are appropriate, in accordance with section 3 of this agreement, and not harmful, illicit, or otherwise offensive, and that they have the right to share the image.
Service Line Item Definitions
Users may create Service Line Item Definitions. We are not responsible for the content or accuracy of these Service Line Item Definitions. Users agree to create Service Line Item Definitions responsibly, and agree to provide the service defined in the Service Line Item Definition for any Membership Definition of which it is or was a part. Users also agree that any images uploaded as part of a Service Line Item Definition are appropriate, in accordance with section 3 of this agreement, and not harmful, illicit, or otherwise offensive, and that they have the right to share the image.
Service Line Items
Users may create Service Line Items. We are not responsible for the content or accuracy of these Service Line Items. Users agree to create Service Line Items responsibly, and in accordance with services actually performed on a Customer's vehicle. Users also agree that any images uploaded as part of a Service Line Item are appropriate, in accordance with section 3 of this agreement, and not harmful, illicit, or otherwise offensive, and that they have the right to share the image.
Shops
Users may create Shops. We are not responsible for the content or accuracy of these Shops. Users agree to create Shops responsibly, and that any Shop created on the platform is a physical location or business in the real world. Users also agree that any images uploaded as part of a Shop are appropriate, in accordance with section 3 of this agreement, and not harmful, illicit, or otherwise offensive, and that they have the right to share the image. Users also agree that any link or website associated with a Shop contains content that is appropriate, in accordance with section 3 of this agreement, and not harmful, illicit, or otherwise offensive.

How DMCA Notices are Processed
We will evaluate your notice and respond with our findings, and next steps in no more than 60 days.
How to Submit a DMCA Counter Notice
To submit a DMCA counter notice, please email us the notice at help@cognovix.com within 30 days of receiving our reponse to your initial DMCA notice.
Payment for creating Shops and other services in the App is processed through Stripe. Users are responsible for all charges incurred.
All payment details are subject to our Privacy Policy.
We may update or modify these Terms at any time. The most current version will be available via a link within the App. Your continued use of the App after such changes constitutes your acceptance of the updated Terms.
The App is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that the App will be error-free or uninterrupted.
We are not liable for any direct, indirect, incidental, special, or consequential damages resulting from your use of the App, Membership Definitions, Service Line Item Definitions, Service Line Items, Posts, Shops, content uploaded on the App, or any other content or feature related to the App.
These Terms shall be governed by and construed in accordance with the laws of the state of Delaware, without regard to its conflict of law principles.

Informal Resolution
Users agree that in the event of any legal dispute or claim arising from or related to the use of the App or these Terms, both parties must first attempt to resolve the dispute informally and in good faith, without resorting to formal litigation. To initiate this informal dispute resolution process, the User must provide written notice of the dispute to help@cognovix.com. We will have a period of 60 days from the date of receipt of such notice to respond to the dispute.
Litigation
If the parties are unable to resolve the dispute informally within the 60-day period specified above, either party may commence formal legal proceedings. Users acknowledge and agree that this informal dispute resolution process is a mandatory precondition to initiating litigation.
Time Limit for Claims
Users further acknowledge and agree that any legal action or proceeding arising out of or related to the use of the App or these Terms must be initiated within one year after the incident giving rise to the dispute occurred. Failure to bring a claim within this one-year period will result in a waiver of the right to pursue legal action for the incident thereafter.
By using the App, you acknowledge and accept the terms of this dispute resolution clause. You also understand that it is a condition precedent to any formal legal action, and you agree to abide by the procedures outlined herein.
By using the App, you acknowledge that you have read, understood, and agree to these Terms of Service.
